RANDY LINSCOTT

CEO & MANAGING MEMBER, M3SIXTY ENTERPRISES, LLC

Randy serves as an Interested Trustee on each of our shared series trusts, M3Sixty Funds Trust (“MFT”) & 360 Funds Trust (“360”) and managing member of the holding company (M3Sixty Holdings, LLC). In addition, he serves as President and Chairman of the Board of MFT and President of 360. Before joining M3Sixty, Randy spent the previous six years as the division vice president of Mutual Fund Operations for Boston Financial Data Services (“BFDS”). He directed the firm's institutional, middle market and real estate investment trust practices, leading numerous operational organizations and the firm's relationship management efforts. Randy also provided executive relationship management services to key firm clients. As a member the senior management team, he helped drive company-wide strategy, reorganization efforts, global policy and firm culture. Randy was instrumental in the firm's relationship management program launch and real estate investment trust service model successes. Prior to joining BFDS, Randy spent over a decade at PricewaterhouseCoopers in their Kansas City and Dublin, Ireland, offices, most recently as senior audit manager. Randy provided consultation, audit and technical support services to numerous multinational clients including leading the audit of the U.S. firm's largest investment management client with assets under management in excess of $1 trillion. In this role, Randy assisted and advised senior client management and their boards on a wide range of financial accounting and reporting matters and various public filings while coordinating all aspects of client service delivery. Randy graduated cum laude with a B.S. in Accounting from Missouri State University in Springfield, Missouri. He is a CPA, having held licenses in Kansas and Missouri and has served as a member of ICI’s Small Funds and the NICSA Midwest Regional Committees.

GARY DICENZO

CHIEF EXECUTIVE OFFICER, M3SIXTY CAPITAL & M3SIXTY DISTRIBUTORS, LLC

Prior to joining M3Sixty Capital as CEO, Mr. DiCenzo was CEO of Cognios Capital, LLC (“Cognios”). Cognios  offered both traditional and hedge fund asset management services to institutional clients. Prior to joining Cognios, Gary led Scout Investment Advisors as President of the Scout Mutual Fund complex, the President & CEO of Scout Distributors and as a board director to the advisor. Over the past 30 years, he has focused on the strategic planning and growth for hedge fund, institutional and mutual fund investment managers. Mr. DiCenzo is also a board and investment committee member of both the Rhode Island College and Dramatist Guild Foundations. Gary holds an MBA and also a B.S. degree from Rhode Island College. Additionally, he maintains a FINRA Series 7 license.

MICHAEL STACK, CFA

CHIEF INVESTMENT OFFICER, M3SIXTY CAPITAL, LLC

Mr. Stack serves as the Chief Investment Officer for M3Sixty Capital as well as Co-Portfolio Manager of the M3Sixty International Equity Strategy and the M3Sixty International Equity ADR Strategy. Prior to joining M3Sixty, he was lead Portfolio Manager of the Scout International strategy-managing over $11 billion in international equities. Prior to joining Scout, he managed the European Equities Fund at Overseas Asset Management (OAM), an off-shore investment firm based in Grand Cayman. Mr. Stack's experience includes assisting in the management of European equity portfolios for U.S. Trust Company of New York in New York and London. Additionally, Michael worked as a research analyst for a domestic brokerage house in Slovakia and has over 26 years of financial industry experience. Mr. Stack holds an MBA with a concentration in Finance and International Business from Columbia Business School in NY and a BComm degree from University College Dublin. He is a CFA® charterholder and a member of the CFA Society Kansas City, as well as the CFA Institute.

RICHARD YATES

HEAD OF LEGAL & COMPLIANCE, M3SIXTY ENTERPRISES, LLC

Mr. Yates serves as Chief Compliance and Chief Legal Officer for M3Sixty. Richard has spent decades representing businesses primarily in the financial services sector. He has extensive experience representing investment advisors, broker­dealers, banks, registered and private funds, as well as operating businesses. Mr. Yates has advised clients on a broad range of commercial topics such as: product design and distribution, federal investment regulation, institutional investing, contracts, public and private securities offerings, fiduciary best practices and corporate governance, as well as general corporate and business advice. Mr. Yates received a B.A. degree from the University of Rochester and a J.D. from Brooklyn Law School with cum laude honors.

LARRY BEAVER

HEAD OF OPERATIONS, M3SIXTY ENTERPRISES, LLC

Mr. Beaver currently serves as Head of Operations for M3Sixty Enterprises. Larry has over 20 years of experience in the financial services industry, including leading teams in operations, fund accounting, fund administration, financial reporting and taxation.   Mr. Beaver also serves as the Principal Financial Officer ("PFO") on multiple shared series trusts. As PFO, Larry is responsible for monitoring and maintaining each Trust's disclosure controls and procedures over financial reporting in order to help detect fraud and/or any significant deficiencies in the design or operation of internal controls. He is also the lead point of contact during all audits of funds within each shared series trust.   Mr. Beaver graduated with a B.S. in Accounting from West Chester University in West Chester, Pennsylvania.
